L2 Capital Picks Newton to Tokenize $500m Pre-IPO AI Shares

L2 Capital, a Hong Kong-based technology investment firm, has signed on as a founding partner of Newton Labs‘ tokenization platform, targeting $500 million in tokenized pre-IPO and late-stage technology holdings within 24 months of the platform’s launch. The partnership is one of the more substantive announced applications of real-world asset tokenization to private-market equity, a segment where operational friction and compliance complexity have historically kept institutional experimentation limited.

The platform is still under development. L2 Capital plans to onboard selected positions from its own portfolio, as well as opportunities originated with other firms, giving eligible institutional and professional investors the ability to hold those positions onchain and use them as collateral in permitted decentralised finance lending markets.

The compliance problem Newton is trying to solve

The core technical proposition from Newton Labs centres on a problem that has stalled broader adoption of tokenized regulated assets in DeFi contexts. Most existing tokenization approaches enforce compliance at the point of issuance or by restricting which wallets can receive a token. Once a token moves into a lending protocol or secondary application, those controls frequently stop applying, creating regulatory and counterparty risk.

Newton Protocol, which will serve as the platform’s authorisation layer, is designed to check every transfer, loan or other action against the fund manager’s codified policy rules before settlement, regardless of which permitted application the token is operating in. The system records each decision onchain as a signed, verifiable result. The platform is also being designed to support confidential policy enforcement, allowing institutions to apply sensitive requirements without public disclosure, with controlled access for regulators and auditors.

Dennis Won, co-founder and chief technology officer of Newton Labs, said the goal is to let eligible investors access holdings that have historically been out of reach and borrow against those positions without having to sell. Kevin Lee, co-founder and partner at L2 Capital, framed the partnership as the next step in widening access to private-market value creation: “Investors in our holdings want to know the rules are being followed, not take our word for it.”

Market context and regulatory read-across

The pre-IPO secondary market has attracted growing institutional attention, driven in part by extended private-company lifecycles among high-profile AI firms. The structural challenge is that private shares carry layered transfer restrictions, investor eligibility requirements and lock-up conditions, all of which are difficult to automate in the existing manual-review model used by most secondary market intermediaries.

Newton Labs brings notable institutional backing, including PayPal Ventures, Lightspeed Venture Partners, Tiger Global and Digital Currency Group, and a history that includes building more than 60 million embedded wallets before selling that business to Payward Services, Kraken’s parent company, in 2026 to focus on the compliance infrastructure layer.

Regulatory scrutiny of tokenized real-world assets is intensifying across relevant jurisdictions. In the EU, MiCA sets out a framework for asset-referenced tokens but leaves significant ambiguity around private equity instruments. In Hong Kong, the Securities and Futures Commission has been active in licensing digital-asset platforms and has issued guidance on tokenized securities, making it one of the more permissive but also more closely watched markets for this type of structure. The platform’s stated restriction to eligible institutional and professional investors in licensed jurisdictions is consistent with the approach regulators in both markets have indicated they expect.

The $500 million target is framed as a 24-month aspiration rather than a committed figure, and the platform has not yet launched. The markers to watch are the platform’s go-live date, the jurisdictions in which it obtains or relies on existing licences, and whether additional fund managers join L2 Capital as clients.
