ADIB Launches AED 1.75bn Rights Issue to Fund Vision 2035 Growth

Abu Dhabi Islamic Bank (ADIB) has set the key dates for a AED 1.75 billion rights issue following shareholder approval at a general assembly on 6 October 2026 and sign-off from both the Central Bank of the UAE and the Capital Market Authority. The transaction will issue up to 106,383,000 new ordinary shares, lifting the bank’s issued share capital from AED 3.632 billion to up to AED 3.738 billion.

Shareholders registered by the eligibility date of 2 November 2026 will receive one right for every 34.14 existing ADIB shares held. Each right entitles the holder to subscribe for one new share at AED 16.45, comprising a nominal value of AED 1.00 and a share premium of AED 15.45. That price represents a 28.8% discount to ADIB’s closing share price on 24 August 2026. Investors wishing to qualify must execute purchase orders on or before 29 October 2026 to allow for the two-day ADX settlement window.

Rights will trade on the Abu Dhabi Securities Exchange (ADX) between 4 and 16 November 2026. The subscription period runs from 10 to 24 November, with new shares expected to begin trading on 18 December 2026. Shareholders who do not exercise their rights may sell them on-market during the trading window, though those who neither exercise nor sell will face percentage ownership dilution once the new shares are listed.

ADIB will act as sole receiving bank for the issue. Subscription channels include the ADX ePortal, participating ADIB branches and the ADIB Mobile App for existing digital banking customers.

Capital strategy and Gulf banking context

Mohamed Abdelbary, group chief executive officer of ADIB, said the bank was entering its next growth phase from a position of strength, with the capital increase designed to pursue opportunities under Vision 2035 while maintaining a robust capital position.

The reference to Vision 2035 aligns the raise with Abu Dhabi’s broader economic diversification agenda, which has driven a sustained expansion in Islamic finance across the emirate. ADIB reported total assets of AED 304 billion as of 30 June 2026, a scale that places it among the largest dedicated Islamic banks globally. The rights issue, while modest relative to total assets, is intended to give the bank headroom to grow its loan book, deepen corporate and private banking relationships, and invest in digital infrastructure without straining its capital adequacy ratios.

Regulatory and market read-across

The dual approval requirement from the Central Bank of the UAE and the Capital Market Authority reflects the layered regulatory architecture that governs listed bank capital raises in the Gulf. The UAE’s banking regulator has historically maintained conservative Tier 1 capital expectations, and a rights issue structured at a clear discount is the conventional tool for ensuring take-up without reliance on underwriters.

The transaction also sits within a broader regional trend. Several Gulf Cooperation Council banks have tapped equity markets in recent years to fund balance sheet growth ahead of anticipated credit demand from government infrastructure programmes and private-sector expansion. For institutional investors already holding ADIB shares, the tradable rights structure preserves optionality: they can subscribe to maintain their stake, sell the right and realise a cash value, or allow dilution if they judge the discount insufficient to justify additional capital allocation. The 28.8% discount is a meaningful incentive designed to minimise the risk of rights trading well below subscription price and discouraging participation.
